Terms of Service

Read this before using the platform. AfriPrime Alpha Capital is a
pre-launch, non-custodial algorithmic trading platform. It is
not a
bank, broker-dealer, investment adviser, or licensed financial institution
in any jurisdiction. Trading involves substantial risk of loss, including
total loss of deposited funds. Nothing on this platform is investment
advice. If any part of this is unclear, do not use the platform until you
understand it fully — see the separate

Disclosure for a full breakdown of the risks involved.
1. Who operates this platform
AfriPrime Alpha Capital ("AfriPrime," "the Platform," "we," "us") is
operated by the AfriUniverse Management team, based in Ghana. AfriPrime Alpha Capital is
not currently a registered or incorporated legal entity in
Ghana or any other jurisdiction. If and when AfriPrime Alpha Capital
becomes a registered legal entity, these Terms will be updated to name
that entity, and continued use of the Platform after such an update
constitutes acceptance of the updated Terms.

2. What the platform does
AfriPrime Alpha Capital gives users access to two automated trading
engines — ELIAZAR (cryptocurrency, trading across
multiple centralized exchanges) and ORACLE (foreign
exchange, trading via a regulated forex broker) — through a licence
purchased on the BNB Smart Chain (BSC) using USDT (BEP-20). Each user who
purchases a licence receives their own non-custodial smart contract
vault. Capital held in a vault can be pulled by the Platform's automated
orchestration system for active trading rounds and is returned to the
vault, together with any trading profit or loss, once a round closes.
The Platform also operates a multi-level referral/commission structure:
users who refer other users to purchase a licence, or whose referred
users generate trading profit, may earn commissions. Full commission
mechanics, rates, and eligibility rules are defined by the smart
contracts and displayed in-platform, and may be adjusted by the Platform
operator from time to time as described in Section 8.
3. Eligibility
- You must be at least 18 years old (or the age of legal majority in
your jurisdiction, if higher) to use the Platform.
- You are solely responsible for determining whether it is legal for
you to use the Platform, purchase a licence, or participate in the
referral program under the laws of your country of residence or
citizenship — including any laws relating to cryptocurrency, foreign
exchange trading, or multi-level marketing / referral compensation
structures.
- You may not use the Platform if you are located in, or a resident or
citizen of, a jurisdiction where doing so would be unlawful.
- You are responsible for the security of your own wallet, private
keys, and seed phrase. AfriPrime never has custody of your funds and
cannot recover funds lost due to a compromised wallet, lost private key,
or a transaction sent to the wrong address.
4. Licences and fees
- Access to ELIAZAR and/or ORACLE requires purchasing a licence on-chain
in USDT (BEP-20), at the price displayed in-platform at the time of
purchase.
- Licence fees are non-refundable once the purchase
transaction has been confirmed on-chain, except where required by
applicable law.
- Licences have a fixed duration and must be renewed to maintain
active access. Renewal pricing is displayed in-platform and may change
over time.
- The Platform operator reserves the right to change licence pricing,
features, or terms for future purchases and renewals at any time,
without affecting the terms of a licence already purchased for its
current, unexpired term.
5. Non-custodial vaults and capital deployment
- Each user's vault is a smart contract deployed on BNB Smart Chain.
The Platform operator does not hold your private keys and cannot
unilaterally move funds out of your vault to a wallet the operator
controls, except through the specific, on-chain, publicly-verifiable
mechanisms described below.
- By depositing capital into a vault and enabling trading, you
authorize the Platform's automated orchestration system to pull a
portion of that capital into the Platform's operational wallets for the
duration of an active trading round, and to return capital (plus any
profit, or minus any loss) to your vault once that round closes,
according to the rules encoded in the smart contracts.
- Trading results are not guaranteed. A round may close with a loss,
in which case the capital returned to your vault will be less than the
capital that was pulled, in accordance with the loss-sharing mechanics
encoded in the smart contracts.
- The Platform includes an on-chain pause mechanism and a kill-switch
monitoring system intended to halt new capital deployment if losses
exceed a defined threshold. These are risk-mitigation tools, not
guarantees against loss — see the Risk Disclosure for details.
6. Referral / commission program
- Commissions are paid based on the referral relationships and rules
encoded in the smart contracts at the time a commission-triggering event
(a licence purchase or trading profit distribution) occurs.
- Commission structures, rates, and the number of referral levels may
be adjusted by the Platform operator for future events. Adjustments do
not retroactively change commissions already earned and credited.
- You may not use false, misleading, or deceptive claims to recruit
referrals — including guaranteeing returns, describing the Platform as
risk-free, or misrepresenting how commissions or trading work.
- The Platform reserves the right to withhold or claw back commissions
obtained through fraudulent referral activity, including but not limited
to self-referral schemes, fake accounts, or coordinated manipulation of
the referral system.
7. Prohibited conduct
You agree not to:
- Attempt to exploit, manipulate, or interfere with the smart
contracts, orchestration system, or any other part of the Platform's
infrastructure;
- Use the Platform for money laundering, terrorist financing, or any
other unlawful purpose;
- Misrepresent the Platform, its returns, or its risk profile to
others, including in marketing your referral link;
- Attempt to gain unauthorized access to any part of the Platform's
systems, including the admin panel or backend infrastructure;
- Use the Platform if you are subject to sanctions or located in a
jurisdiction subject to comprehensive sanctions.
8. Changes to the platform and these terms
The Platform is under active development. We may add, remove, or modify
features, trading strategies, fee structures, and smart contracts —
including deploying replacement contracts — as the Platform evolves.
Material changes to these Terms will be reflected by an updated "Last
updated" date above. Continued use of the Platform after a change is
posted constitutes your acceptance of the revised Terms.
9. No guarantee, no advice
Nothing on this Platform, in its marketing materials, or communicated by
the Platform operator constitutes financial, investment, legal, or tax
advice. Past or projected trading performance is not indicative of
future results. You should not deposit capital you cannot afford to lose
in full.
10. Limitation of liability
To the fullest extent permitted by applicable law, the Platform operator
is not liable for any indirect, incidental, special, or consequential
damages arising from your use of the Platform, including but not limited
to trading losses, smart contract vulnerabilities, blockchain network
failures or congestion, exchange or broker failures, loss of private
keys, or unauthorized access to your own wallet. The Platform is
provided "as is" and "as available," without warranties of any kind.
11. Indemnification
You agree to indemnify and hold harmless the Platform operator from any
claims, losses, or damages arising from your breach of these Terms, your
violation of applicable law, or your misuse of the Platform.
12. Governing law and disputes
These Terms are governed by the laws of the Republic of Ghana, without
regard to its conflict-of-law principles. Any dispute arising from these
Terms or your use of the Platform will first be attempted to be resolved
informally by contacting us via Telegram,
WhatsApp,
or email afriprimebusiness@gmail.com.
If informal resolution fails, disputes will be subject to the exclusive
jurisdiction of the courts of Ghana, except where applicable law
requires otherwise.
13. Severability
If any provision of these Terms is found unenforceable, the remaining
provisions will remain in full force and effect.
