Terms of Service

Read this before using the platform. AfriPrime Alpha Capital is a pre-launch, non-custodial algorithmic trading platform. It is not a bank, broker-dealer, investment adviser, or licensed financial institution in any jurisdiction. Trading involves substantial risk of loss, including total loss of deposited funds. Nothing on this platform is investment advice. If any part of this is unclear, do not use the platform until you understand it fully — see the separate Risk Disclosure for a full breakdown of the risks involved.

1. Who operates this platform

AfriPrime Alpha Capital ("AfriPrime," "the Platform," "we," "us") is operated by the AfriUniverse Management team, based in Ghana. AfriPrime Alpha Capital is not currently a registered or incorporated legal entity in Ghana or any other jurisdiction. If and when AfriPrime Alpha Capital becomes a registered legal entity, these Terms will be updated to name that entity, and continued use of the Platform after such an update constitutes acceptance of the updated Terms.

2. What the platform does

AfriPrime Alpha Capital gives users access to two automated trading engines — ELIAZAR (cryptocurrency, trading across multiple centralized exchanges) and ORACLE (foreign exchange, trading via a regulated forex broker) — through a licence purchased on the BNB Smart Chain (BSC) using USDT (BEP-20). Each user who purchases a licence receives their own non-custodial smart contract vault. Capital held in a vault can be pulled by the Platform's automated orchestration system for active trading rounds and is returned to the vault, together with any trading profit or loss, once a round closes.

The Platform also operates a multi-level referral/commission structure: users who refer other users to purchase a licence, or whose referred users generate trading profit, may earn commissions. Full commission mechanics, rates, and eligibility rules are defined by the smart contracts and displayed in-platform, and may be adjusted by the Platform operator from time to time as described in Section 8.

The Platform is under active development. We may add, remove, or modify features, trading strategies, fee structures, and smart contracts — including deploying replacement contracts — as the Platform evolves. Material changes to these Terms will be reflected by an updated "Last updated" date above. Continued use of the Platform after a change is posted constitutes your acceptance of the revised Terms.

9. No guarantee, no advice

Nothing on this Platform, in its marketing materials, or communicated by the Platform operator constitutes financial, investment, legal, or tax advice. Past or projected trading performance is not indicative of future results. You should not deposit capital you cannot afford to lose in full.

10. Limitation of liability

To the fullest extent permitted by applicable law, the Platform operator is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to trading losses, smart contract vulnerabilities, blockchain network failures or congestion, exchange or broker failures, loss of private keys, or unauthorized access to your own wallet. The Platform is provided "as is" and "as available," without warranties of any kind.

You agree to indemnify and hold harmless the Platform operator from any claims, losses, or damages arising from your breach of these Terms, your violation of applicable law, or your misuse of the Platform.

12. Governing law and disputes

These Terms are governed by the laws of the Republic of Ghana, without regard to its conflict-of-law principles. Any dispute arising from these Terms or your use of the Platform will first be attempted to be resolved informally by contacting us via Telegram, WhatsApp, or email afriprimebusiness@gmail.com. If informal resolution fails, disputes will be subject to the exclusive jurisdiction of the courts of Ghana, except where applicable law requires otherwise.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
